1. Introduction

This terms and conditions are between the entity you represent, or, if you do not designate an entity in connection with a product purchase, you individually (“you” or “your”), and Blend of Taste (“we”, “us”, or “our”). It consists of the terms and conditions below, Online Services Terms, as well as the use policy, and the details for your purchase (together, the “agreement”). It is effective on the date we provide you with confirmation of your order or the date on which your order is delivered, as applicable. Key terms are defined in Definitions.

The Terms of Use of the Blend of Taste websites include these Terms and Conditions, the Privacy Policy and any other terms and conditions that appear in or are linked to the Blend of Taste websites (Additional Terms and Conditions). “Website(s)” means any website(s) we own and operate (such as https://blendoftaste.com) or any web pages, interactive features, applications, widgets, blogs, social networks, social network “tabs,” or other online, mobile, or wireless offerings that post a link to these terms and conditions.

2. Website content and access

While Blend of Taste endeavors to take reasonable care in preparing and maintaining the information on this website we do not warrant the accuracy, reliability, adequacy or completeness of any of the website content. You acknowledge and accept that the website content may include technical inaccuracies and typographical errors. The website content is subject to change at any time without notice and may not necessarily be up to date or accurate at the time you view it.

It is your responsibility to inquire with us directly to ensure the accuracy and currency of the material or information you seek to rely upon. To the extent permitted by law, including the Consumer Protection Laws and Regulations France 2024, Blend of Taste disclaims all liability for loss directly or indirectly arising from your use of or reliance on the website and the website content.

Blend of Taste does not guarantee that access to the Blend of Taste website will be uninterrupted or that the website is free from viruses or anything else which may damage any computer which accesses the Blend of Taste website or any data on such a computer.

3. Purchasing Services

1. Available Products. The website provides Offer Details for available product purchases, which generally can be categorized as one or a combination of the following:
   • Commitment Offering. You commit in advance to purchase a specific quantity of products to be delivered at as specific date and you pay up front.
     Online purchase. You order from the website and have the delivery the same day.
2. Ordering.
   • By ordering a product, you agree to the ingredients and sides that come with the meal. Unless otherwise specified in the product, meals are offered on an “as available” basis.
   • You have a reasonable amount of time to make your purchase. Each product is available at a first come first serve basis. If you take too long to make your order and quantities run out, then we apologize for the inconvenience.
3. Pricing and payment. Payments are due and must be made according to the checkout options.
   • For Commitment Offerings, the price level may be based on the quantity of products you ordered. Some offers may permit you to modify the quantity of products ordered during the Term and your price level may be adjusted accordingly, but price level changes will not be retroactive. During the Term of your purchase, prices for products will not be increased, unless you make modifications. All prices are subject to change at the beginning of any purchase.
   • For Online Purchases, pricing is subject to change at any time upon notice.
4. Taxes. Prices are include taxes unless otherwise specified on the invoice as tax inclusive. You must pay any applicable value added tax, fees, delivery charges or similar amounts that are owed at the time of purchase and which we are permitted to collect from you under applicable law.

4. Limitation of liability

To the maximum extent permitted by law Blend of Taste excludes all liability for any loss or damage of any kind (including special, indirect or consequential loss and including loss of business profits) arising out of or in connection with the website content and the use or performance of the Blend of Taste websites except to the extent that the loss or damage is directly caused by Blend of Taste’s fraud or wilful misconduct.

Where the law (including without limitation the Consumer Protection Laws and Regulations France 2024) implies a warranty or guarantee into these Website Terms and Conditions which may not lawfully be excluded, then provided it is fair and reasonable to do so, Blend of Taste ‘s liability for breach of such a warranty or guarantee shall be limited at its option, to any one or more of the following:

• in the case of goods: replacement of the goods; refund of the goods ; and
• in the case of services, to either resupplying the services or payment of the cost of having the services supplied again.

5. Intellectual property

The materials displayed on this website, including without limitation all editorial materials, information, photographs, illustrations, artwork and other graphic materials, and names, logos and trade marks, are the property of Blend of Taste and are protected by copyright, trade mark and other intellectual property laws. Any such content may be displayed and printed solely for your personal, non-commercial use within your organization provided that any copyright notice on such a display or page is not removed. You agree not to reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate any such material to any third party without the express prior written consent of Blend of Taste.

Save for the above, and unless expressly granted, Blend of Taste does not grant any license or right in, or assign all or part of, its intellectual property rights in the content or applications incorporated into the Blend of Taste website or in the user interface of the Blend of Taste website.

6. Submissions

Any material you send to us on or via the Blend of Taste website will be deemed to be non-confidential and non-proprietary, unless it is indicated to be otherwise. This includes any data, questions, comments, suggestions, ideas or other information. We will be entitled to use any such material which has not been indicated to be confidential or proprietary for any purpose without compensation to you.

7. Third party websites

The Blend of Taste Website may contain links to other websites operated, controlled or produced by third parties. Unless otherwise indicated, Blend of Taste does not control, endorse, sponsor or approve any such third party websites or their content nor does Blend of Taste provide any warranty or take any responsibility whatsoever for any aspect of those websites or their content.

8. Links to Blend of Taste website

The following information will be required to assess your request:

3. the reason that you wish to establish a link.

If Blend of Taste agrees to your proposed link, you must comply with any terms and conditions imposed by Blend of Taste as a condition of such agreement. If the nature and/or content of your website changes in any significant way, you must contact Blend of Taste and provide a new description of your website.

9. Interference with website

You must not attempt to change, add to, remove, deface, hack or otherwise interfere with this any Blend of Taste websites or any material or content displayed on the Blend of Taste websites.

10. Jurisdiction

These Terms and Conditions are governed by and construed in accordance with Annecy, France. In the event that a dispute arises from these Website Terms and Conditions, each of Blend of Taste and you agree to submit to the non-exclusive jurisdiction of the courts of Annecy, France.

11. Miscellaneous

• Notices. Notices must be in writing and will be treated as delivered on the date received at the address, date shown on the return receipt, email transmission date, or date on the courier or fax confirmation of delivery. Notices to Blend of Taste must be sent to the following address:
• License Transfers and Assignment. You may not assign this agreement either in whole or in part or transfer licenses without Blend of Taste’s consent.
• Severability. If any part of this agreement is held unenforceable, the rest remains in full force and effect.
• Waiver. Failure to enforce any provision of this agreement will not constitute a waiver.
• No agency. This agreement does not create an agency, partnership, or joint venture.
• No third-party beneficiaries. There are no third-party beneficiaries to this agreement.
• Applicable law and venue. This agreement is governed by French law, without regard to its conflict of laws principles. Subject to sections (i) and (ii) below, if we bring an action to enforce this agreement, we will bring it in the jurisdiction where you have your headquarters. If you bring an action to enforce this agreement, you will bring it in Annecy, France.
• Entire agreement. This agreement is the entire agreement concerning its subject matter and supersedes any prior or concurrent communications. In the case of a conflict between any documents in this agreement that is not expressly resolved in those documents, their terms will control in the following order of descending priority: (1) this Blend of Taste products, and any other documents in this agreement.
• Survival. The terms in Sections 1, 3.3., 3.4., 4, 5, and 10 will survive termination or expiration of this agreement.
• Force majeure. Neither party will be liable for any failure in performance due to causes beyond that party’s reasonable control (such as fire, explosion, power blackout, earthquake, flood, severe storms, strike, embargo, labor disputes, acts of civil or military authority, war, terrorism (including cyber terrorism), acts of God, acts or omissions of Internet traffic carriers, actions or omissions of regulatory or governmental bodies (including the passage of laws or regulations or other acts of government that impact the delivery of products)). This Section will not, however, apply to your payment obligations under this agreement.
• Contracting authority. If you are an individual accepting these terms on behalf of an entity, you represent that you have the legal authority to enter into this agreement on that entity’s behalf. If you specify an entity, or you use an email address provided by an entity you are affiliated with (such as an employer) in connection with a Subscription purchase or renewal, that entity will be treated as the owner of the Subscription for purposes of this agreement.
• Government customers. Government customers should consult with Blend of Taste prior to acceptance. By accepting this agreement, you represent that you have complied and will continue to comply with all applicable laws and governmental procurement requirements.
• Supply Terms.
  • Appointment as purchaser. You appoint Blend of Taste as the supplier of all Products under this Agreement. You will order Products from Blend of Taste and agree to pay all amounts due to Blend of Taste. The terms of this Agreement will apply to each order. Blend of Taste does not have authority to bind or impose any obligation or liability on the Blend of Taste entity that enters into the Agreement.
  • Failure to Pay. Your failure to make any payment to Blend of Taste by the required date will constitute a material breach of the Agreement. In the event Blend of Taste terminates your order for cause, all amounts due to Blend of Taste shall become due and payable immediately.

Definitions.

Any reference in this agreement to “day” will be a calendar day.

“Acceptable Use Policy” is set forth in the Online Services Terms.

“Customer” means any person or entity that makes a purchase from the website.

“Online Purchase”, “Commitment Offering”, or “Limited Offering” describe categories of purchases and are defined in Section 3.

“Customer Data” is defined in the Online Services Terms.

“Blend of Taste” is defined in the Online Services Terms.

“Non-Blend of Taste Product” is defined in the Online Services Terms.

“Purchase” means the pricing and related details of a product as published on the website.

“Online Services” means any of the Blend of Taste services to which you subscribe or use under this agreement.

“Online Services Terms” means the terms that apply to your use of the Products available at https://www.blendoftaste.com/. The Online Services Terms include terms governing your use of Products that are in addition to the terms in this agreement.

“Product” means any food or product.

“Term” means the duration of a purchase.
